Under no circumstances will Le Dix-Sept be liable for any indirect, special, punitive, incidental or consequential damages, or any other damages of any kind, whether in an action in contract, tort or otherwise. In no event will the aggregate liability of le dix-sept, whether in contract, warranty, tort, product liability, strict liability or otherwise, exceed any compensation you pay, if any, to le dix-sept for access to or use of our website.

We reserve the right to modify or discontinue, temporarily or permanently, our website or any features or portions thereof without prior notice. You agree that we will not be liable for any modification, suspension, or discontinuance of our website or any part thereof.

Unless otherwise indicated by us, our website and all content and other materials therein, including, without limitation, the Le Dix-Sept logo and all designs, text, graphics, pictures, information, data, software, files, and the selection and arrangement thereof, (collectively, “Content”) are the proprietary property of Le Dix-Sept or our licensors and are protected by U.S. and international copyright laws.

You are granted a limited, nonexclusive, non-sublicensable license to access and use our website and Content; however, such license is subject to these Terms and does not include (a) the collection, use, distribution, public performance or public display of any Content; (b) modifying or otherwise making any derivative uses of our website or the Content, or any portion thereof; (c) use of any data mining, robots or similar data gathering or extraction methods; (d) downloading (other than the page caching) any portion of our website, the Content or any information contained therein, except as permitted by us; and (e) any use of our website or the Content other than for their intended purposes. Any use of our website or the Content other than as specifically authorized herein, without our prior written permission, is strictly prohibited and will terminate the license granted herein. Such unauthorized use may also violate applicable laws, including without limitation copyright and trademark laws and applicable communications regulations and statutes. “LE DIX-SEPT,” the Le Dix-Sept logo, and any other Le Dix-Sept product or service names, logos or slogans that may appear on our website are trademarks of Le Dix-Sept and may not be copied, imitated or used, in whole or in part, without the prior written permission of the applicable trademark holder. You may not use any metatags or other “hidden text” utilizing “Le Dix-Sept,” or any other name, trademark or product or service name of Le Dix-Sept without our prior written permission. In addition, the look and feel of our website, including all page headers, custom graphics, button icons and scripts, is the service mark, trademark or trade dress of Le Dix-Sept and may not be copied, imitated or used, in whole or in part, without our prior written permission. All other trademarks, registered trademarks, product names and company names or logos mentioned in our website are the property of their respective owners. Reference to any products, services, processes or other information, by name, trademark, manufacturer, supplier or otherwise does not constitute or imply endorsement, sponsorship or recommendation by us.

You are granted a limited, nonexclusive right to create a hyperlink to our website provided that such link does not portray Le Dix-Sept in a false, misleading, derogatory or otherwise defamatory manner and provided further that the linking website does not contain any adult or illegal material or any material that is offensive, harassing or otherwise objectionable. When you use our website to purchase an item, the following terms apply:

Pricing and Taxes.  All prices and other charges are shown in U.S. dollars. Shipping and handling charges are not included in the products’ sales prices. All prices are subject to change without notice. We will collect applicable sales tax on items shipped to California, New York, Pennsylvania and any other state(s) in which we determine we have a duty to collect tax. If an item is subject to sales tax, you agree that taxes may be adjusted from the amount shown on the billing screens. Several factors may cause this, such as variances between processor programs, changes in tax rates and whether an item is taxable. 

Errors.  We attempt to be as accurate as possible and to eliminate errors on our website. We do not, however, represent or warrant that any item, description, photograph, price or other information is accurate, complete, reliable, current or error-free. In the event of an error, we reserve the right to correct such error and revise your order accordingly or to cancel your order and refund any amount charged. Your sole remedy in the event of such error is to cancel your order and obtain a refund. 

Shopping Cart.  When you place an item in your shopping cart, that item is still available for purchase by other users. You do not have any claim to an item until you successfully complete the checkout process.

Perishables and Shipping Restrictions.  Quality is of the utmost importance to us, and we want to ensure that our products arrive in superb condition. For this reason, we retain the right not to ship perishable items to certain warmer climate states during the summer months unless you have paid for our special shipment -- your order packed with dry ice or ice packs within an insulated container for shipment. Payment.  Only valid credit cards or other payment methods acceptable to us may be used to purchase items through our website. By submitting an order through our website, you represent that you are authorized to use the designated payment method and you authorize us to charge that payment method for your order (including taxes, shipping, handling and any other amounts disclosed to you). When you provide your payment information, you further authorize us (or a third party service provider working on our behalf) to process and store your payment information. In the event that your payment method cannot be verified, is invalid or is not otherwise acceptable, we may suspend or cancel your order automatically. You are responsible for resolving any problems we encounter before we can proceed with your order.

No Returns or Refunds.  We do not accept returns or provide refunds; however, if you receive an item that does not materially conform to its listing, please contact CustomerService@LeDixSept.com within three business days of receiving the item and we will attempt to help you resolve the issue. If you do not contact us within three business days, you will be deemed to have accepted the item.

Restrictions.  In order to ensure that the Le Dix-Sept brand is accurately represented, we prohibit the unauthorized resale of our products, and no more than 5 pieces per item may be purchased per order or as determined in our discretion. Should you need to purchase more than 5 pieces per any item, you would be prompted to contact us with the details of your request and we will respond to you promptly.

PLEASE READ THE FOLLOWING PARAGRAPH CAREFULLY BECAUSE IT REQUIRES YOU TO ARBITRATE DISPUTES WITH US AND IT LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF.

You and Le Dix-Sept agree to arbitrate any dispute arising from these Terms, our products or your use of our website, except for disputes in which either party seeks equitable and other relief for the alleged unlawful use of copyrights, trademarks, trade names, logos, trade secrets or patents. ARBITRATION PREVENTS YOU FROM SUING IN COURT OR FROM HAVING A JURY TRIAL. You and Le Dix-Sept agree to notify each other in writing of any dispute within thirty days of when it arises. Notice to Le Dix-Sept must be sent to Le Dix-Sept, Attn:  Legal, 3130 Webster Street, #14, San Francisco, CA 94123. You and Le Dix-Sept further agree:  (a) to attempt informal resolution prior to any demand for arbitration; (b) that any arbitration will occur in San Francisco, California; (c) that arbitration will be conducted confidentially by a single arbitrator in accordance with the rules of JAMS; and (d) that the state or federal courts in San Francisco, California have exclusive jurisdiction over any appeals of an arbitration award and over any suit between the parties not subject to arbitration. Other than class procedures and remedies discussed below, the arbitrator has the authority to grant any remedy that would otherwise be available in court. Any dispute between the parties will be governed by these Terms and the laws of the State of California and applicable United States law, without giving effect to any conflict of laws principles that may provide for the application of the law of another jurisdiction. 

YOU AND LE DIX-SEPT AGREE THAT NEITHER PARTY WILL COMMENCE AGAINST THE OTHER A CLASS ACTION, CLASS ARBITRATION OR REPRESENTATIVE ACTION OR PROCEEDING.

If any provision of these Terms is deemed unlawful, void or for any reason unenforceable, then that provision will be deemed severable from these Terms and will not affect the validity and enforceability of any remaining provisions. By using our website, you agree that we may communicate with you electronically regarding administrative, security and other issues relating to your use of our website or your purchase of any of our products. You agree that any notices, agreements, disclosures or other communications that we send to you electronically will satisfy any legal communication requirements, including that such communications be in writing.
